These Provider Terms of Service ("Provider Terms") apply to class providers, instructors, organizations, or studios ("Providers," "you") who create, publish, or manage programming via the Local Recreation Go platform (the "Service") offered by AndromedaX, LLC ("AndromedaX," "we," "us," or "our"). By using the Service as a Provider, you also agree to be bound by our general Terms of Service, which apply to all users of the platform. By using the Service as a Provider, you agree to be bound by these Provider Terms in addition to our standard Terms of Service and Privacy Policy.

Provider Eligibility

You must be at least 18 years old and legally authorized to represent the organization, business, or activity provider account you operate on behalf of. You represent and warrant that all information submitted to AndromedaX is accurate and truthful.

Provider Responsibilities

  • Ensure that all listings, content, and schedule information you submit is accurate, lawful, and up to date;
  • Fulfill all services, classes, or programs that you publish through the Service;
  • Comply with all local, state, and federal laws and regulations governing your offerings;
  • Maintain adequate insurance, certifications, and qualifications to deliver your services, where required by law.

Prohibited Uses / No Abuse

As a Provider, you agree not to misuse the Service or engage in activities that could harm other users, the platform, or the recreation industry. Without limiting other restrictions in these Terms, you specifically agree that you will not:

  1. Unlawful Activity – Use the Service for any illegal purpose, offer illegal services or activities, or violate any applicable laws, regulations, or licensing requirements governing recreation, fitness, or educational programming.
  2. Misrepresentation of Qualifications –
    • Falsely represent your credentials, certifications, qualifications, or experience;
    • Claim affiliations with organizations, institutions, or governing bodies without proper authorization;
    • Misrepresent your insurance coverage, safety protocols, or compliance with applicable regulations.
  3. Data Misuse –
    • Collect, scrape, or harvest data about other providers, their programming, pricing, or participants;
    • Misuse participant contact information for unauthorized marketing or non-service-related communications;
    • Share participant data with third parties without proper consent and legal authority.
  4. Fraudulent or Misleading Listings –
    • Create fake, duplicate, or misleading class, event, or program listings;
    • Misrepresent pricing, scheduling, location details, or program requirements;
    • Advertise services you cannot or do not intend to provide.
  5. Commercial Misuse Related to Recreation Programming –
    • Engage in unfair competitive practices, including artificially manipulating reviews or ratings;
    • Impersonate competitors or create false negative content about other providers;
    • Use the platform primarily to redirect users to competing platforms or services;
    • Engage in price fixing, market manipulation, or other anti-competitive behaviors.
  6. Safety and Professional Standard Violations –
    • Offer programs or activities without maintaining required safety standards, equipment, or protocols;
    • Fail to disclose known risks, age restrictions, or physical requirements for activities;
    • Operate without required permits, licenses, or insurance coverage.
  7. Platform Manipulation –
    • Use automated systems, bots, or scripts to create accounts, listings, or manipulate platform features;
    • Circumvent any security measures, access controls, or usage limitations;
    • Spam users, flood the platform with excessive listings, or engage in other disruptive behaviors.
  8. Bad-Faith Use – Use the Service with the primary intent of gathering information for litigation, creating disputes, or undermining the platform's reputation rather than legitimately providing recreation programming services.

Enforcement

Violation of this Section may result in immediate suspension or termination of your Provider account, removal of your listings, forfeiture of any fees paid, reporting to relevant licensing authorities, and/or legal action by AndromedaX. We may also share information about violations with municipal partners and other stakeholders as appropriate.

Content Guidelines and Licensing

All content you submit (including class descriptions, photos, branding, and logos) must comply with the Prohibited Uses section above and may not infringe on third-party rights.

By submitting content, you grant AndromedaX a worldwide, non-exclusive, royalty-free license to display, promote, and distribute your content in connection with the Service.

Fees and Payments

Some features or promotional tools may require payment. Any applicable fees will be disclosed in advance. You are responsible for any applicable taxes associated with your use of the Service.

No Municipal Affiliation

You acknowledge that using the Service does not make you a representative or agent of any municipality or public entity, and that the Service is a third-party platform not officially affiliated with any City, even when listing programs in municipal jurisdictions.

Indemnification

You agree to indemnify and hold harmless AndromedaX, LLC, its officers, employees, agents, affiliates, and municipal partners from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of or related to:

  • Your use of the Service;
  • The content or accuracy of your listings;
  • Your provision (or failure to provide) the services you list;
  • Your violation of any law or third-party rights.

Disclaimer and Limitation of Liability

The Service is provided "as is" without warranties of any kind. AndromedaX is not responsible for the performance of your business or the success of your listings.

To the maximum extent permitted by law, AndromedaX's total liability to you will not exceed one hundred dollars ($100).

Termination

We reserve the right to suspend or terminate your Provider account at any time for violation of these Terms or for any reason, with or without notice.

Modifications

We may update these Provider Terms from time to time. If material changes are made, we will provide notice via email or dashboard notification. Continued use of the Service after such updates constitutes your acceptance.
